Terms of Service

1. Who we are & what these terms cover
Cobay is operated by Cobay Technology Private Limited(“Cobay”, “we”, “us”). Cobay is an AI assistant that merchants (“you”) install on their Shopify store to help shoppers discover products and get answers about orders, shipping, and returns. These terms are an agreement between you (the merchant) and Cobay and govern your use of the Cobay app, dashboard, website, and related services (together, the “Service”). By installing or using the Service you agree to these terms. If you use the Service on behalf of a business, you confirm you can bind that business.
2. Your account & your store
- You must provide accurate account information and keep your credentials secure.
- You are responsible for activity under your account and for the configuration choices you make (for example, the tone, policies, and content you connect to the assistant).
- You must have the rights to the store, catalog, and content you connect to Cobay, and your use of the Service must comply with applicable law and Shopify’s terms.
3. Plans, billing & trials
- Paid plans are billed through Shopify’s billing system and appear on your Shopify invoice. Prices, conversation allowances, and any free-trial length are shown on our pricing page and in the app at the point of purchase.
- You can upgrade, downgrade, or cancel from the app or by uninstalling; Shopify’s billing rules govern proration and when charges stop.
- We may change prices or plan allowances prospectively; changes take effect on your next billing cycle and material changes will be communicated in advance.
4. Acceptable use
You agree not to:
- use the Service for unlawful, deceptive, or harmful purposes;
- use the assistant to mislead shoppers (including presenting it as a human where the law requires disclosure, or configuring it to make claims you know are false);
- attempt to probe, overload, reverse-engineer, or disrupt the Service;
- resell or white-label the Service without our written agreement;
- submit content to the Service that you don’t have rights to or that infringes others’ rights.
5. AI outputs & your responsibility
Cobay is designed to answer only from your connected store data and to hand off to a human when it is unsure. Like all AI systems, it can still make mistakes. You are responsible for reviewing how the assistant is configured for your store, for your store’s policies and their accuracy, and for the commercial decisions you make based on the Service’s analytics. The Service is a tool that assists your business; it does not replace your judgment or your obligations to your customers.
6. Data
Our Privacy Policy explains what we process and why. For shopper personal data, you are the controller and Cobay is your processor under our Data Processing Agreement, which forms part of these terms. On uninstall, store and shopper data is deleted in line with the retention terms described there and with Shopify’s mandatory data-deletion webhooks.
7. Intellectual property
We own the Service, including its software, models’ configurations, design, and branding. You own your store content, catalog, policies, and data. You grant us the rights needed to operate the Service for you (for example, indexing your catalog so the assistant can answer about it). Feedback you send us may be used to improve the Service without obligation to you.
8. Availability, changes & beta features
We work to keep the Service reliable, but it is provided on an “as available” basis and may occasionally be interrupted (maintenance, upstream providers, events beyond our control). We may improve or change features over time, and features labeled beta or early access may change or be withdrawn. If we discontinue the Service, we will give you reasonable notice where practicable.
9. Disclaimers & limitation of liability
To the maximum extent permitted by law: the Service is provided “as is” without warranties of any kind, express or implied; we do not warrant that it will be error-free or uninterrupted, or that it will achieve any particular sales, resolution, or revenue outcome. To the maximum extent permitted by law, Cobay’s total aggregate liability arising out of or relating to the Service is limited to the amounts you paid to Cobay in the twelve (12) months before the event giving rise to the claim, and neither party is liable for indirect, incidental, special, or consequential damages, or lost profits or revenue. Nothing in these terms limits liability that cannot be limited by law.
10. Termination
You can stop using the Service at any time by uninstalling the app. We may suspend or terminate the Service for material breach of these terms (including acceptable-use violations or non-payment), or where required by law or by Shopify platform rules; where reasonable, we will notify you and give you a chance to cure. Sections that by their nature should survive (including 6, 7, 9, and 11) survive termination.
11. Governing law & disputes
These terms are governed by the laws of India, and the courts at Chennai, Tamil Nadu have exclusive jurisdiction, subject to any mandatory consumer or local-law protections that apply to you. Before filing a claim, please contact us — most issues can be resolved quickly and directly.
12. Changes to these terms
We may update these terms from time to time. For material changes we will give notice (for example, by email or in the dashboard) before the changes take effect. Continuing to use the Service after the effective date means you accept the updated terms.
